Am I correct in interpreting this to mean that they are keeping it a trade secret so that they can delay patent filing, and thus delay patent expiry? If so, it is unfortunate that the law is promoting such negative behavior. I would suggest counting the patent term from the date of invention instead, but that date is too difficult to verify. Rather the threat of being scooped on the patent filing should prevent such behavior.

As an aside, all NDAs should be legally limited to the same or shorter term than a patent.
